The purpose of this Registration Statement is
to register 3,000,000 additional shares of Common Stock, par value $2.50 per share (the “Common Stock”), of Cummins Inc.
(the “Company” or the “Registrant”) in connection with the Company’s Employee Stock Purchase Plan.
