transaction,

of
ENGH

stock

a
combination
of
cash
and
membership
interests
in

interests
were

in

transaction
and

September
18,
2024,
Vistra
and
Nuveen
agreed
to
terms
for
the
sale
of
the
Vistra
Vision

exchange

membership
interest
in
