Item 5.02 Departure of Directors or Certain Officers; Election of Directors: Appointment of Certain Officers

On July 16, 2010 Herbert Lindo, the Chairman, Chief Financial Officer and Treasurer for Kenilworth Systems Corporation (“Kenilworth” or the “Company”) advised the members of the Kenilworth Board of Directors that he wishes to reduce his activities at Kenilworth for personal reasons.  Herbert Lindo will remain Chairman and Treasurer of Kenilworth performing all of the activities consistent with those responsibilities as he has to date.

The Board of Directors is searching for a suitable successor to Herbert Lindo to serve as President of Kenilworth.  Herbert Lindo will continue to serve as President until successor is appointed.
