The complaint alleges that during the Class Period, Yuhe, a supplier of day-old chickens, violated federal securities laws by issuing false and misleading statements regarding (a) the purported acquisition of 13 breeder farms and (b) the financial results for the fiscal years ended 2009 and 2010.

In a June 17, 2011 letter to the Yuhe Audit Committee, the Company's independent auditor resigned, citing "management's misrepresentation and failure to disclose material facts surrounding certain acquisition transactions and off balance sheet related party transactions." Furthermore, the auditor indicated that Yuhe's financial statements for the year ending December 31, 2010 should no longer be relied upon. Following this letter, NASDAQ suspended trading of the Company's stock.
