Restricted Shares 
 
 
The Company has been advised that the Trustee of the Cable and Wireless plc 
Employee Share Ownership Trust ("the Trust") has undertaken the following 
transactions in the ordinary shares of the Company: 
 
 
  *  On 3 August 2009 Restricted Shares in the Company were released to Ivan 
  Gunatilleke, a PDMR, at a price of 144.41 pence per ordinary share, in 
  accordance with the rules of the Company's Restricted Share Plan. In order to 
  meet UK income tax liabilities, the Trust also sold ordinary shares from the 
  Restricted Shares released to Ivan Gunatilleke at this price; 
 
  *  On 2 June 2009 Restricted Shares in the Company were released to Nick Cooper and 
  Clare Waters, both PDMRs, at a price of 134.84 pence per ordinary share, in 
  accordance with the rules of the Company's Restricted Share Plan. In order to 
  meet UK income tax liabilities, the Trust also sold ordinary shares from the 
  Restricted Shares released to Nick Cooper and Clare Waters at this price; and 
 
  *  On 19 February 2009 Restricted Shares in the Company were released to Ken 
  McFadyen, a PDMR, at a price of 143.50 pence per ordinary share, in accordance 
  with the rules of the Company's Restricted Share Plan. In order to meet UK 
  income tax liabilities, the Trust also sold ordinary shares from the Restricted 
  Shares released to Ken McFadyen at this price.
