Guangdong Development Fund Limited ("GDF") announces that, at the Extraordinary
General Meeting of GDF held on 30 May 2005, the following shareholders'
resolutions were passed.



Each of Chu Lap-Lik, Victor, Lau Wah Sum, Lee York Wo, Kwan Yee Fai, Ho Man Yi,
Beat Muller and Mohammad Haroon ceased to act as directors of GDF with immediate
effect.



Each of Chan Kin, Chung Kuohsien David, Li Yick Yee Angie, Martyn Alan Scriven
and Ronald William Green were appointed as directors of the GDF with immediate
effect.
