SECTION 198 DISCLOSURE

PRINCIPLE CAPITAL HOLDINGS S.A. has received a letter dated 6 November 2006 as
follows:

"Pursuant to Sections 198 of the Companies Act 1985 (as amended) (the "Act"),
SG Option Europe (SGOE) hereby gives notification of an increase in interest in
the Ordinary Shares of Principle Capital Holdings S.A. (the "Shares").

As at the close of business on 3 November 2006, SGOE was interested in 737,500 
Shares.

Societe Generale S.A., as SGOE's parent company, is also deemed to have an
interest in the Shares.

To the best of our knowledge, there are no arrangements to which Section 204 of
the Act applies in relation to any Shares concerned."
