Suspension of listing and trading of Phoenix Shares
On 27 May 2015, the Board of Phoenix, the Board of Daisy and
Toscafund announced the terms of a recommended cash offer for the
entire issued and to be issued share capital of Phoenix not already
owned, or agreed to be acquired, by Daisy, to be effected by means
of a Court-sanctioned Scheme of Arrangement under Part 26 of the
Companies Act 2006. The scheme document in connection with the
Scheme was sent to Scheme Shareholders on 09 June 2015.
Pursuant to the terms of the Scheme and Listing Rule 5.3,
Phoenix announces that the listing of Phoenix Shares on the
Official List of the FCA and the trading of Phoenix Shares on the
London Stock Exchange have been suspended, effective from 5.00 p.m.
today.
The Court sanctioned the Scheme at the Scheme Court Hearing on
08 July 2015. The Effective Date of the Scheme is expected to be 16
July 2015.
The de-listing of Phoenix Shares from the Official List of the
FCA and the cancellation of trading on the London Stock Exchange
have been applied for and are expected to take effect at 8.00 a.m.
on 16 July 2015.
All references to time in this announcement are to London time.

Notice to US investors
The Offer relates to shares of an English company and is
proposed to be effected by means of a scheme of arrangement under
