Explanation of Responses:
( 1)  Reflects the disposition of common stock shares to the Company to pay the withholding taxes associated with the monthly vesting of 624 shares of common stock under the restricted stock unit award dated January 28, 2010.
( 2)  Securities acquired on January 28, 2011 include 23,650 fully vested shares of JDAS common stock together with 23,650 restricted stock units awarded to the reporting person on January 28, 2011, pursuant to the attainment of specified EBITDA goals under performance rights approved on February 3, 2010 under the JDA 2005 Performance Incentive Plan. Each restricted stock unit represents a right to receive one share of JDAS common stock, and such units vest at the rate of 1/24 on the 28th day of each calendar month beginning February 28, 2011 and continuing through January 28, 2013 subject to the reporting person's ongoing employment with JDA.
( 3)  Reflects the disposition of common stock shares to the Company to pay the withholding taxes associated with the initial vesting of 23,650 shares of common stock under the restricted stock unit award dated January 28, 2011.

Remarks:
Due to a typographical error, the expiration date of the grant described in Footnote #2 was incorrectly listed as January 28, 2012. The correct expiration date is January 28, 2013.
