Explanation of Responses:
( 1)  These shares include 15,000 shares of restricted stock granted on December 6, 2012, which are scheduled to vest one year from the date of grant, in accordance with the terms of the related Restricted Stock Award Agreement.
( 2)  The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on or about March 13, 2013.
( 3)  One-fourth of the shares subject to the option vest and become exercisable on the Exercisable Date, and one forty-eighth of the shares vest and become exercisable on the first day of each calendar month thereafter.

( 5)  The shares subject to the option are fully vested.
