Fuller Capital Corp. Announces Termination of Proposed Qualifying Transaction With Axmin Inc. and Nimini Gold Holdings Corp.

Fuller Capital Corp. (TSX VENTURE: FUL.P) (the "Company") announces
that the Company, AXMIN Inc. ("Axmin") and Nimini Gold Holdings
Corp. ("Nimini"), a wholly-owned subsdiary of Axmin, have
terminated the amalgamation agreement (the "Amalgamation
Agreement") that the Company announced on June 10, 2011. Pursuant
to the terms of the Amalgamation Agreement, Aximin and Nimini must
pay the Company $200,000 within fifteen business days of the date
of the termination of the Amalgamation Agreement.
The Company anticipates applying to the TSX Venture Exchange
(the "TSXV") to resume trading of its common shares. The Company
cannot guarantee that it will resume trading on the TSXV or that
its application will be completed in a timely manner. The Company
will resume seeking out a new Qualifying Transaction as a Capital
Pool Company (as those term are defined under the policies of the
TSXV).
Neither TSX Venture Exchange nor its Regulation Services
Provider (as that term is defined in the policies of the TSX
Venture Exchange) accepts responsibility for the adequacy or
