                           Share consolidation update



30 August 2005



Celsis International Plc (the "Company") confirms that the consolidation of its
share capital approved by shareholders on 26 July 2005 was finalised at close of
business on 26 August 2005. The consolidation was conducted on the basis of one
new 5p ordinary share in the Company for each five ordinary shares of 1p each
held in the Company at close of business on 26 August 2005.



As a result of the consolidation of the share capital, the current issued share
capital of the company comprises 22,483,043 ordinary shares of 5p each. All of
these shares have been admitted to the Official List and to trading on the
London Stock Exchange.
