Claimed in 2016 that Nioturd was on the cusp of full and complete funding, then claimed just a few years ago how the NASDAQ was going to be the game changer. Both turned out to be false and very misleading.

T&T , when I decided to get in NB I never considered anyone on the management team had any experience on rare earth minings. They are learning on the job as it goes, since they did not follow MP Materials sending the ores to China for refineries.

Sweet talks from CEO would never stay around me long. I also am not a simple Buy and Hold investor, during Buy and Hold I trade shares to recoup my investment money back. So I eventually hold free cost shares.

Very sad, over a decade ago we were led to believe we were going to be breaking ground in a few short years. We have been told we were shovel ready and financing was imminent years ago.

Unfortunately, we have nothing to show for our loyalty except decade lows on our investment. It’s time for Mark Smith to either make things right with financing or face the consequences of his incompetence.

In the beginning, Being overly bullish on Mark and his bull-board cronies makes me an idiot (I’m still one in that regard). I can’t figure out why he still running the company. And because he is, and the Board of Directors seem to think he’s doing everything right giving him raises all the time, makes me even more of an idiot.
They should fire him and then fire themselves for what they have done to shareholders.

Which came first the chicken or the egg? The feasibility study or the technical report?

I agree the market doesn’t know shit, but that doesn’t mean the market doesn’t move on its own, due to perception and speculation.

That big surge to $2.90 is not the Bullish end. When the bulls start buying again, and they will, they can easily push it back up to $2.90 without News but news needs to come to get us past that point.

This is not bashing or negativity. This is just the status quo here. You get some news, you get the bump, the peasants rejoice for a short time, then the silence settles in, then reality comes back. We start getting NRs about someday projects and news snippets the CEO wrote. That is not news. at all. It has happened ovvver, and ovvver, and ovvver here.

The big difference is we have a shot at some sort of big news now more than we did before. The global mineral talk and saber rattling has goosed the sector. Thats great, BUT do we have an actual harvestable resource regardless of "proven reserves"? Nothing has pointed to the positive there, but what was not palatable before might be OK now regardless of cost or difficulty. Its going good right? Thats what we said to the US Senate in person years ago now. So we are going good right?!

We don't know what is in the nebula. Do we need a big cash raise for the FS? Is the FS holding up RPMGlobal? Does the new administration actually want to move fast on building elk creek? Do we have to go through the entire exim process still? Just how important is the (as far as we know) un-funded FS? We just don't know and neither does the market.

It will be under $2 by end of march unless something happens. There is no market sentiment here. There is no tension. There may be "proven reserves", but nobody has expressed interest to put up the money to harvest the orebody. I hope the us gov wants to mine it regardless of the cost because that seems to be the last resort. The news of exim moving one step into more waiting and analysis wont matter. Are we waiting on the FS? Does RPMGLobal need the FS? If they do where is that money coming from?

It's close right? Daily comms with the trump admin right?

This is headed down unless there is more substantial news. The amount it goes up wont matter anyway unless there is news. Wont even see $3.

They would have been better off offering 200 million (20 million post split) shares on the open market 3 years ago and gotten much further than we are now and have less dilution.

Mark Smith has failed to deliver any substantial financing and he continues to blow smoke up everyone’s arse! It’s time for him to go elsewhere and get someone to close. Mark isn’t it

The frustrating part is that they've known for 2 to 3 years that they need a feasibility study and have yet to be able to raise money for one. It's entirely possible at this point they might not finish it until 2026.

I didn't read that well enough the first time you sent it....so, net net... it looks like regardless of whether additional drilling needed or not- it will still be a 9 month period to update/release the Feasability Study...... sheeeez, you woulda thought that one of our GX corporate raiders could have temporarily ponied up a few million to get us thru the FS stage until the financing came in....... which could have saved us 6-9 months..... but it looks like the GX 'Raiders are looking for a big windfall without much skin in the game..... sharks! Greed is Good Gekko...... Yes, I had read all that previously. The pertinent language: "Annually review and make recommendations to the independent directors on the Board regarding the corporate goals and objectives applicable to the compensation of the CEO and evaluate at least annually the CEO’s performance in light of those goals and objectives." It would be nice to know what the actual goals are.

I haven't looked at last year's AGM documents to see if the same language was used. This is what I mentioned in my original post--from the current AGM documents: "... the Company’s executive compensation program is designed appropriately and is working effectively to help ensure that the Company compensates its named executive officers for the achievement of performance goals that will enhance shareholder value."

If this was the same language as last year, were the performance goals met that enhance shareholder value? Judging by the dilution and current share price it's hard for me to imagine that the established goals were met. Did this affect executive compensation? I can go on but I think I've made my point about what appears to be both an executive performance failure and a BOD oversight failure. Granted, I don't know what the actual goals were and I don't know what the compensation committee discussed. But, I do know that shareholder value has not been enhanced.

NCT: I have already covered that issue more than once and have posted here a number of times that it is my understanding that there is no current requirement or mandate for additional drilling, including the response from Jim Sims below on November 22, 2024:
EXIM has not yet made a final decision on whether or not they would like to see us conduct some additional drilling sufficient to move a portion of our probable reserves to proven reserves. If they do request this, we can complete that drilling campaign in about 12 weeks, and that drilling will not impact the time for completion of the Feasibility Study update, which is estimated between 6-9 months. Regardless, we are seeking funding from the U.S. Department of Defense sufficient to cover both the costs of completing the requisite Feasibility Study-level work that EXIM requires and the costs of the additional drilling.

We will publicly announce any material developments on DoD funding, a Stellantis offtake agreement, and other ongoing initiatives when they occur.

Compensation is a related issue. I am talking about performance, especially as pertains to increasing shareholder value. In my past, I had performance goals and metrics that I was evaluated according to. And, I have done annual reviews where I would hold others to the performance metrics that were part of their established goals. So, what are the performance goals that are referenced in the proxy materials? Who on the BOD is holding the executive team accountable for meeting or not meeting these performance goals? Sure does look like a performance failure and an oversight failure as regards performance goals related to improving share holder value.

I was hoping Jim would answer the question about whether the additional work (additional drilling to prove 'probable' element assets to to 'actual' reserves, and what does 'close' mean?? a.) close to procuring financing for the additional drilling and DD necessary to satisfy the prerequisites for the application or b.) no extra DD required, financing for the work necessary to issue the updated FS or c.) something else
Since you seem to have the ability to get responses from Jim, can you see if he can answer these questions, all of which are straightforward and critical for investors to know.... in order to make informed investment decisions...

First: What are the potential ramifications for NioCorp regarding the potential Agreement with Ukraine for critical minerals and REE’s?

Virtually zero, other than his focus will soon shift more to the domestic mining side once he realizes that, even if he gets some form of mining or resource concessions there, it will be many years before any private company is willing to do exploratory work on land that is littered with unexploded ordinance and where the Russians are still within rocket and artillery range.

Second: How are you and the Executive team viewing the replacement in leadership at EXIM? I know Mark and the rest had a very strong relationship with the former Chair. Are the changes viewed positively for NioCorp?

Yes, on several levels, but I cannot comment on those at this point, given that John is awaiting Senate confirmation and interactions have to be very carefully done.

And Third: Are you able to give an update on where we are with financing to begin or complete an updated BFS?

stark: The Board compensation committee handles that, and does an analysis of comparable executives in comparable companies, etc. Unless I have missed something, none of the top executives on the Board serve on the compensation committee of the Board which establishes their compensation.

You can vote for each BOD member individually. I wonder if we can actually cast GXII out for good. I see no reason for them to be on the BOD. They will still get their money if this actually takes off, but they have brought nothing the table besides abject regret.

I'm not actually faulting them, our people were the ones that actually believed the GX shareholders would not immediately redeem their shares and head for the hills. That was pretty wild. I would be less embarrassed to show up at the emergency room with something stuck.

I was reviewing the proxy documents prior to voting and noted the following: "... the Company’s executive compensation program is designed appropriately and is working effectively to help ensure that the Company compensates its named executive officers for the achievement of performance goals that will enhance shareholder value."
I bolded the part that drew my attention. Does anyone know the specifics about what the performance goals are for each executive? I didn't find the specific goals detailed but maybe I missed them.

Of course, it raises the question as to what the performance goals were for the last annual cycle and whether these goals were met or not.

While I don't think the lack of transparency around these internal metrics is unusual, I would need to be convinced that these lofty sounding statements about performance goals have any true substance. Does the Board of Directors hold the performance reviews of the various executives? Does Mark, as a director, recuse himself from evaluating his own performance as an executive?

So, if all of the company executives are meeting the performance goals that the company and board sets, why has shareholder value plummeted and why does the project remains stalled? To say performance goals that will enhance shareholder value and not deliver actual performance that enhances shareholder value points to failure to meet the performance goals. I understand goals can be aspirational, but talk is cheap. It is well past time to get past the financing finish line and start construction on Elk Creek. Results matter.

2024 emissions inventory report, all zeroes, unfortunately.

Some previous year stuff disclosing some equipment that doesn't amount to much because this is still basically untouched land and farmland. maybe the guys cutting firewood made some dust. 🤔
