Update on the Acquisition of Adventus Mining Corporation

VANCOUVER, BC, July 5, 2024 /PRNewswire/ - Silvercorp Metals Inc. ("Silvercorp" or the "Company") (TSX: SVM) (NYSE American: SVM) today provided an update regarding its proposed acquisition of Adventus Mining Corporation ("Adventus").


As announced in the Company's April 26, 2024 news release, the Company has entered into an arrangement agreement (the "Arrangement Agreement") with Adventus pursuant to which the Company agreed to acquire all of the issued and outstanding common shares of Adventus by way of a plan of arrangement, subject to the satisfaction of certain conditions (the "Transaction"). One of those conditions is the absence of any Material Adverse Effect (as defined in the Arrangement Agreement") in respect of Adventus. The Company has determined that such a Material Adverse Effect has arisen.

The Material Adverse Effect arises from the litigation referred to in the Adventus news release of June 17, 2024, which seeks to void the environmental licence of the Curipamba-El Domo project. Since we became aware of this litigation and brought it to the attention of Adventus some weeks ago, Silvercorp has made continuous, diligent efforts to understand and analyze the litigation and its implications. As a result of the analysis Silvercorp has done, and having taken advice from its legal and other advisors, Silvercorp reached the conclusion that this litigation presently constitutes a Material Adverse Effect, as defined in the Agreement, in respect of Adventus.

The Company will continue to monitor and evaluate the litigation and its surrounding circumstances and remains open to working cooperatively with Adventus with a view to closing the Transaction if the conditions to closing for the benefit of the Company can be satisfied.

The Arrangement Agreement specifies a deadline of July 31 for the satisfaction of all conditions to closing. Silvercorp has expressed to Adventus its willingness to discuss extending this deadline.

You sure were right. I just thought it would take until Monday. There is likely to be an enormous short squeeze coming up at the comex.

I added 22K APCX Thursday. 2 Friends added 1577 shares yesterday. Time is running out for under a buck. Hopefully my funds transfer hits Monday as I want 500 more shares for a smaller account. If you ever grab any shares let me know. Their instacash transfers to Mexico and Brazil should start shortly; That will generate 60M a year by itself.

I added 100 shares of SIL yesterday to get exposure to 100M plus silver miner shares. I think it will not be long before we get a short squeeze with the silver shortage. Copper going through that right now. Great timing on grabbing a high grade copper deposit by SVM.

Picked up exposure to 4.2 M shares SVM in SIL.

OT, Surfer 44,

Check out ACPX and do DD. I have obtained my last position today and it took the whole day.

10 year contract to board 400 airports. Working on San Fran International, Dulles, DFW, Contract to add 2K credit unions and then the other 2,700 credit unions. They have instacash testing payment system to Mexico, Brazil and then Canaa. After that they are going after casinos petroleum companies

They have 500 citations by the big boys on their patents. There all inclusive patent should be issued anytime now.

Warburg asset mgt bought 35K shares yesterday. People sold off when they had to issue another million shares The float is so low and no one knows about this stock. Price .90 bought today. Shares are drying up. They should be cranking in cash like a pig next quarter. Even if you can get 100 shares the stock split potential is out of site. Only 21M shares float and a bunch of just sucked up the cheap shares.

See if it is for you. Remember Amazon who uses our patents had a 20 for 1 stock split prior.

One of the highest grade copper deposits in the world. Adding 176K ounces of silver a year at these prices and going up will pay this off fast.

I hope it is fast enough to take over New Pacifc Metals.

Surprised by the market reaction. I listened to the video and the webcast and I like what I saw and heard.

With copper, gold and silver likely to increase it is hard to believe the reaction to the news today.

Timing might be great. Still interested in New Pacific Metals and this mine is ready to go right now. 14 potential drill sites now can be worked on whereas they could not have done so but for this deal.

I suspect we will see a dividend increase in the future. They expect to an increase the mine live to 30 years. What is not to like about an increase from 9 to 30 years?

I hope Lon or someone from SVM reads this board.

Andrew McGuire, from Live From the Vault, just said silver should be at 200.00 right now. He further said breech of the 50 buck level and silver goes parabolic. He further sates gold valued under 3K is grossly undervalued.

We need to tie down New Pacific Metals with their million of ounces of silver and gold as well as Omai before the above happens.

Andrew has been spot on with his recent silver price break out over 26.25. It is cheaper to hit 51 percent ownership now then when the above happens.

Ok, here goes.

The Orecorp deal is closed in Sydney. It was a bad deal for the major shareholders who pressed for the all cash deal. Real smart business men -not.

It was a bad deal for the small stock holders and the cash and stock offer was a better deal. Why? let me explain.

From March 1st though April 16th gold went up 289.65 an ounce. Silver went up 5.29 an ounce. SVM stock went up 1.23 The value of all silver and gold deposits went up. Including shares and or silver and gold deposits in other companies we have ownership in right now.

IMHO Orecorp did not deal fairly when SVM got the loan to start moving the people. They then pushed for their interests for a higher cash bid. They should have been resolute on the SVM deal before they ever allowed SVM to hire a project manager, get a loan and start moving people.

The analyst failed to monitor and update their advice on the all cash offer suddenly not being worth as much as the cash and stock offer.
They needed to reevaluate all the silver and gold holdings for the SVM book of business. Their advice and lack of an update really hurt the small investor's and helped the big shareholders get cash. They will owe tax and IMHO have a much worse deal. .57cents less 10 tax is not a better deal than the stock deal which would have clearly off set any tax by the increase of value over the time frame for the offer to close on the 16th. The analyst should have said hold on, the deal is no longer better as a cash deal. Most people were talking about the daily increase in gold and silver and the analyst did not continue to monitor and speak up.

SVM and their shareholders should be re- immbursed all moneys we spent and the breakup fee.

There are articles of the silver supply running out in two years.

SVM needs to tie up New Pacific Metals at 51 percent ownership while the stock is still reasonable.

They will have decades of mine supply. If others run out SVM could really be seeing premium prices on silver. Also, they have gold.

Are we getting the breakup fee?

What happens to the stock we bought. Tendered back or held?

Was it Ore corp that was responsible for the 28M raised to facilitate moving the people and if not do they now pay us back?

Some thoughts now Ore Corp is no longer on the table.

OMAI gold already has 2M ounces gold and likely will find as much or more. We already own a ton of their stock and sit on their board.

The mill is already in place. They might have to add new ball mills. A thought is, with a properly supported tunnel, under the mill they can expand on the other side without removing the plant that was left. This would save major money.

OMAI stock is still so cheap it would not take much money to get to 51 percent ownership now.

Next,

SVM might consider getting to 51 percent on New Pacific now. We are at 27.4 percent now. Again not much money to have control with mega silver and gold reserves for years to come. They could accomplish taking over OMAI and New Pacific likely for less than what Ore Corp was going to cost them.

Just al IMHO.

Two day old Lon Shaver interview with comments on Orecorp.

We do have a breakup fee they pay us if it doesn't go through. He feels with the market going. up our offer is a better offer then the all cash offer. If we don't get the takeover we still have a large number of shares to participate and make money.

In other words a win any way one looks at it.

My best guess is we prevail over an all cash offer. Orecorp shareholders get a slice out of SVM other assets by going with our offer.

The end is March 22nd. The gold and silver prices might continue higher in the mean time and make our offer even better for them to accept.
