Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 19, 2024, Thomas K. Equels and Peter W. Rodino III notified the Compensation Committee of the Company’s Board of Directors (the “Committee”) that, to help the Company focus its financial resources on furthering its Ampligen R&D activities, they voluntarily forego the cash bonuses for 2024 for which they are entitled to pursuant to their employment agreements. Based upon the foregoing, the Committee determined that neither Mr. Equels nor Mr. Rodino would receive a cash bonus for 2024 pursuant to their employment agreements.
