Emergent Group Inc. (“Emergent Group” or the “Company”) (AMEX: LZR)
for possible breaches of fiduciary duty and other violations of
state law in connection with the sale of the Company to Universal
Hospital Services, Inc. (“UHS”) (NYSE: UHS). Under the terms of the
transaction, Emergent Group shareholders will receive $8.46 in cash
per outstanding share of Emergent Group stock they own. The

Directors breached their fiduciary duties to Emergent Group
stockholders by failing to adequately shop the Company before
entering into this transaction and whether UHS is underpaying for
Emergent Group shares, thus unlawfully harming Emergent Group
