                   Proposed Security to 3068358 Canada Inc.                    

NSB Retail Systems PLC ("NSB"), a leading supplier of software solutions to the
global retail industry, announces that it has today posted a circular to
shareholders in relation to the proposed provision of security to 3068358
Canada Inc. (the "Circular").

The Circular describes the background to and reasons for the provision of the
security and contains notice of an EGM to be held at the offices of the Company
at NSB House, 1015 Arlington Business Park, Theale, Reading RG7 4SA at 2.00pm
on 13 November 2003. Shareholders are being asked to approve the Resolution
which, inter alia, authorises the Directors to take all steps necessary to
complete and give effect to the provision of the security.

The definitions contained in the Circular dated 28 October 2003 shall, unless
the context requires otherwise, have the same meanings when used in this
announcement.

A copy of the above document has been submitted to the UKLA, and will shortly
