Regional
Health Properties, Inc. (the “Company”) has determined that it is unable to file its Annual Report on Form 10-K for the year
ended December 31, 2022 (the “Annual Report”) within the prescribed time period without unreasonable effort or expense because,
for the reasons discussed below, additional time is needed to finalize the Annual Report and furnish the XBRL Interactive Data File exhibits
required by Item 601(b)(101) of Regulation S-K.
The
Company is experiencing employee turnover and does not currently have the resources needed to complete the filing on a timely basis.
