Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On May 14, 2008, Terry Stepanik, US Dataworks, Inc.’s (the “Company”) President of the Payment Products Division and a member of the Company’s Board of Directors (the “Board”), resigned from his position as an executive officer and member of the Board.
     Effective May 15, 2008, Mario Villarreal, the Company’s current Executive Vice-President and Chief Technology Officer was promoted to the position of President and Chief Operating Officer of the Company. Mr. Villarreal was also appointed to the Company’s Board and will serve on the Board’s Executive Committee.
     Mr. Villarreal, age 39, co-founded the Company in November 1997 and served as the Company’s Vice President until being promoted to Vice President and Chief Technology Officer in April 2001. In 2004, he was named Senior Vice President.
