Board changes and delisting application
Earlier today, Cardinal Health Inc. ("Cardinal Health") announced that the
recommended cash offer for the entire issued and to be issued share capital of
The Intercare Group plc ("Intercare"), announced on 29 October 2003, made by
Credit Suisse First Boston on behalf of Cardinal Health U.K. 418 Limited, a
wholly owned subsidiary of Cardinal Health, had been declared unconditional in
all respects.
Intercare announces that George Fotiades and Richard Miller have joined the
board of Intercare as non-executive directors. Kenneth Harvey, John Parker,
Jeremy Earnshaw, Christopher FitzGerald and Alan Pilgrim have resigned from the
board. Andrew Kay will remain on the board of Intercare but as a non-executive
director.
Application has been made by Intercare to the UK Listing Authority for the
cancellation of the listing of shares in Intercare on the Official List and to
the London Stock Exchange for the cancellation of the admission to trading of
shares in Intercare on the London Stock Exchange's market for listed securities,
in each case expected to take effect not earlier than 19 January 2004, being 20
business days following the date of this announcement.
