Director's Shareholding

Ottakar's Plc (the 'Company') was today informed that Edward Knighton, 
Finance Director of the Company, exercised an option under the Company's 
Approved share option scheme over 76,923 ordinary shares of 5 pence each
in the Company ('Shares') at an aggregate exercise price of #30,000 on 
25 September 2003. Mr Knighton has informed the Board that he has no present 
intention of disposing of these shares.

Following this transaction Mr Knighton has an interest in 133,874 shares,
representing 0.63% of the Company's total issued share capital.
