JPMorgan Fleming Elect plc announces that on Tuesday 20th January 2004 in the
market it purchased for cancellation 65,000 Managed Income shares at 77 pence
per share representing 0.19% of the ordinary shares in issue.

The number of shares repurchased under the current authority totals 65,000.

The remaining shares in issue following this notification are 34,135,174.
