As required by rule 15 of the AIM rules, the following information falls to be
disclosed:

The Company was notified on 27 May 2003 that as a result of acceptances of the
recommended share offer made by Brit Insurance Holdings PLC ("Brit") on 1 May
2003 (the "Offer") and the Offer becoming unconditional in all respects on 27
May 2003, Brit has acquired a notifiable interest in 124,929,195 ordinary shares
of 5 pence each in the capital of the Company (representing approximately 96.1%
of the existing issued share capital of the Company). As a result, Brit has a
notifiable interest in respect of, in aggregate, 125,740,410 ordinary shares of
the Company.
