Saipem: approvato il bilancio consolidato e il progetto di
bilancio di esercizio 2015, confermando i dati del pre-consuntivo

San Donato Milanese, 16 marzo 2016 - Il Consiglio di
Amministrazione di Saipem S.p.A., presieduto da Paolo Andrea
Colombo, ha approvato il bilancio consolidato al 31 dicembre 2015,
che chiude con un risultato netto di -806 milioni di euro (-230
milioni di euro nel 2014), e il progetto di bilancio di esercizio
di Saipem S.p.A., che chiude con un risultato netto di -127 milioni
di euro (70 milioni di euro nel 2014). Tali risultati e i relativi
trend industriali sono già stati illustrati nel comunicato stampa
relativo al preconsuntivo 2015 diffuso il 24 febbraio 2016. Il
Consiglio di Amministrazione ha confermato di non proporre
all'assemblea la distribuzione di dividendi. Il bilancio
consolidato e il progetto di bilancio di esercizio di Saipem S.p.A.
sono stati trasmessi al Collegio Sindacale e alla Società di
revisione, unitamente alla relazione sulla gestione. La Relazione
Finanziaria Annuale sarà resa disponibile al pubblico nei termini
di legge presso la sede sociale, sul sito internet delle società ,
www.saipem.com, presso il meccanismo di stoccaggio autorizzato "Nis
Storage" (www.emarketstorage.com) e sul sito internet di Borsa
Italiana S.p.A. (www.borsaitaliana.it). Il Consiglio di
Amministrazione ha approvato la Relazione sul Governo Societario e
gli Assetti Proprietari, il Report Saipem Sustainability e la
Relazione sulla Remunerazione: tutti questi documenti saranno
pubblicati contestualmente alla Relazione Finanziaria Annuale.
Piano di Incentivazione di lungo termine 2016-2018 Il Consiglio di
Amministrazione ha, inoltre, deliberato, su proposta del Comitato
Remunerazione e Nomine, di sottoporre alla prossima Assemblea un
Piano di Incentivazione di lungo termine 2016-2018 ("Piano") che
prevede l'assegnazione gratuita di azioni ordinarie di Saipem
S.p.A.

(c.d. Performance Share), a decorrere da luglio 2016 per tre
assegnazioni con cadenza annuale, ciascuna sottoposta ad un periodo
di vesting triennale. Il Piano è stato introdotto in sostituzione
dei due precedenti piani di incentivazione monetaria di lungo
periodo, al fine di avvalersi di uno strumento di incentivazione e
fidelizzazione del management volto a rafforzare la sua
partecipazione al rischio d'impresa, al miglioramento delle
performance aziendali e alla massimizzazione del valore per
l'azionista nel lungo termine. In particolare, il piano prevede,
quale condizione per l'erogazione delle azioni, il raggiungimento
di un obiettivo di business che misura la performance
economico-finanziaria nel medio/lungo termine 1 e di un obiettivo
che misura l'andamento del Total Shareholder Return nel triennio di
riferimento rispetto a un peer group internazionale di settore. I
beneficiari sono l'Amministratore Delegato e le risorse manageriali
di Saipem (e delle sue società controllate), identificate
dall'Amministratore Delegato ad ogni assegnazione tra i titolari di
posizioni organizzative con impatto apprezzabile sul conseguimento
dei risultati di business, anche in relazione alle performance
espresse ed alle competenze detenute. In un'ottica di ulteriore
allineamento agli interessi degli azionisti nel lungo termine e di
sostenibilità dei risultati conseguiti, il Piano prevede inoltre
che, per l'Amministratore Delegato, il 25% delle azioni
eventualmente maturate al termine del periodo di vesting in virtù
del conseguimento degli obiettivi sopra citati siano soggette ad un
periodo di lock-up di due anni, durante il quale l'Amministratore
Delegato non potrà disporre di tali azioni. Il Piano prevede
inoltre che, per le risorse manageriali strategiche, il 25% delle
azioni eventualmente maturate in virtù del conseguimento degli
obiettivi sopra citati sia investito in uno schema di
co-investimento per un periodo di due anni, durante il quale i
beneficiari non potranno disporre delle azioni maturate e al
termine del quale i beneficiari riceveranno un'azione gratuita
aggiuntiva in ragione di ogni azione investita (c.d.
co-investimento), a condizione che al termine dei due anni siano
ancora in forza presso l'azienda. Il Piano prevede infine
l'adozione di clausole di clawback che verranno disciplinate
attraverso uno specifico regolamento. Il Piano è da considerarsi di
"particolare rilevanza" ai sensi dell'art. 84 - bis, comma 2, del
Regolamento Emittenti, in quanto destinato ai soggetti di cui
all'art. 114 - bis del TUF, e in particolare: i) all'Amministratore
Delegato e ii) alle risorse manageriali di Saipem e delle sue
società controllate.

Le specifiche condizioni e finalità del Piano sono illustrate nel
Documento Informativo, redatto ai sensi dell'art. 114 - bis del
Testo Unico della Finanza e dell'art. 84 - bis del Regolamento
Emittenti della Consob, che verrà messo a disposizione del pubblico
nei termini e secondo le modalità previste dalla normativa vigente.
La proposta è stata predisposta in conformità alle prescrizioni
dell'art. 114-bis del D.Lgs. 58 del 24 febbraio 1998 (TUF), tenuto
altresì conto della disciplina attuativa emanata da Consob in
materia di attribuzione di piani di compensi basati su strumenti
finanziari a esponenti aziendali, dipendenti o collaboratori.
Autorizzazione all'acquisto di azioni proprie a servizio del piano
di incentivazione Il Consiglio di Amministrazione ha deliberato,
altresì, di sottoporre all'assemblea la proposta di autorizzazione
all'acquisto di azioni proprie, fino ad un massimo di n. 85.000.000
azioni ordinarie e, comunque entro l'importo massimo complessivo di
42.500.000 euro, azioni da destinare al servizio del suddetto piano
di incentivazione per il primo periodo di attuazione;
l'autorizzazione all'acquisto di azioni proprie è richiesta per un
periodo di diciotto mesi a far data dalla delibera assembleare. La
proposta prevede che l'acquisto potrà essere effettuato, con le
gradualità ritenute opportune, a un prezzo unitario massimo e
minimo pari al prezzo di riferimento rilevato sul mercato
telematico azionario nel giorno precedente a quello dell'acquisto
(più o meno il 5% rispettivamente per il prezzo massimo e per
quello minimo), mediante acquisto sul mercato. Attualmente la
società detiene n. 1.939.832 azioni, pari allo 0,0191% del capitale
sociale. Assemblea Ordinaria Il Consiglio di Amministrazione ha
convocato l'Assemblea in sede ordinaria, per il giorno 29 Aprile
2016 (convocazione unica) anche per la nomina di un Amministratore.
Il Consiglio di Amministrazione del 21 gennaio scorso aveva infatti
nominato per cooptazione il Dott. Leone Pattofatto il quale, ai
sensi dell'art. 2386 del C.C., resta in carica sino all'Assemblea.
Assemblea Speciale degli Azionisti di Risparmio Il Consiglio di
Amministrazione ha, infine, convocato l'Assemblea Speciale degli
Azionisti di Risparmio sempre per il 29 Aprile 2016 (in unica
convocazione) per la nomina del nuovo Rappresentante Comune.

San Donato Milanese, March 16, 2016 - The Board of Directors of
Saipem S.p.A., chaired by Paolo Andrea Colombo, has approved the
Saipem Group Consolidated Financial Statements as at December 31,
2015, which showed a net result of -806 million (-230 million in
2014). The Board also approved the draft Statutory Financial
Statements of Saipem S.p.A., which reported a net result of -127
million (70 million in 2014). These results and associated
industrial trends have already been illustrated in the press
release detailing preliminary results issued on February 24, 2016.
The Board of Directors confirmed it shall not propose to the Annual
Shareholders' Meeting the distribution of dividends. The
consolidated and draft Statutory Financial Statements of Saipem
S.p.A. have been made available to the Board of Statutory Auditors
and the Independent Auditors, together with the Directors' Report.
The 2015 Annual Financial Report will be duly available under the
terms of the law at Saipem's Headquarters and shall be published on
the Company's website: www.saipem.com, on the authorised "Nis
Storage" mechanism (www.emarketstorage.com) and on
www.borsaitaliana.it. The Board of Directors approved the Report on
"Saipem's Corporate Governance and Shareholding Structure", the
"Saipem Sustainability Report" and the "Compensation Report". These
documents will be published on Saipem's website at the same time as
the 2015 Annual Financial Report. Long-term Incentive Plan
2016-2018 At the proposal of the Compensation and Nomination
Committee, the Board of Directors moved to propose at the Annual
General Meeting the approval of a long-term Incentive Plan
2016-2018 page 1 of 10
("Plan"), which provides for the free allocation of ordinary shares
of Saipem S.p.A. (so called Performance Shares) from July 2016 in
three annual tranches, all subject to a three-year vesting period.
The Plan, which replaces the last two long-term monetary incentive
schemes, is intended as a tool to motivate and retain the Company's
top management, to strengthen their participation in the business
risk, to improve the Company's performance and maximise value for
shareholders in the long-term. Shares shall be granted subject to
the achievement of a business target, which measures the
medium-long term financial performance 1 and of the Total
Shareholder Return trend over the three-year reference period
against an international peer group panel. Beneficiaries are the
CEO and top management personnel of Saipem and its subsidiaries,
identified by the CEO for each allocation from the top management
positions responsible for business results, and/or based on their
performance and competencies. To further improve alignment with
shareholders' interests in the long term and achieve sustainable
results, the Plan provides that 25% of the CEO's shares that may
have accrued by the end of the vesting period subject to the
achievement of the aforementioned targets, be locked up for a
period of two years, during which they shall not be accessible to
the CEO. The Plan also provides that , for strategic management
resources, 25% of shares that may have matured by the end of the
vesting period subject to the achievement of the aforementioned
targets, be invested in a co-investment scheme for a period of two
years. During this period beneficiaries shall not be able to access
these shares, however, at the end of the period they shall receive
an additional share for each share invested (hence the term
co-investment), should they still be employed by the Company.
Finally, the Plan provides the adoption of clawback clauses,
governed by ad-hoc regulations. This Plan is considered of "major
significance" pursuant to art. 84 Â bis, paragraph 2, of Issuers'
Regulations since it is aimed at individuals identified under art.
114 Â bis of Law Decree 58/98 (TUF), specifically i) the CEO and
ii) Senior Managers of Saipem and its subsidiaries. The conditions
and aims of the Plan are detailed in the Information Document
prepared in compliance with art. 114-bis of Law Decree 58/98 and
art. 84-bis of Consob Issuers' Regulations, which will be made
available to the public under the terms of the Law.

This proposal has been prepared in compliance with art. 114-bis of
Law Decree 58/98 of February 24, 1998, and takes into account
Consob's provisions for the implementation of compensation plans
based on the allocation of financial instruments to Corporate
Officers, Employees and Collaborators. Authorisation to buy back
treasury shares for allocation to the Incentive Plan The Board of
Directors has moved to propose that the Shareholders' meeting
approve the buy back of up to 85,000,000 treasury shares, for the
maximum total value of 42,500,000 to service the first tranche of
the aforementioned Incentive Plan. Authorisation for the buy-back
shall be for a maximum period of 18 months from the date of
Shareholders' approval. The proposal provides that the buy-back may
be achieved gradually as deemed appropriate, at a maximum and
minimum unitary price equal to the reference price of shares
recorded on the computerised trading market on the day prior to the
buy-back (plus or minus 5% for the maximum and minimum price
respectively). The Company currently holds no. 1,939,832 treasury
shares, equal to 0.0191% of the share capital.
Annual General Shareholders' Meeting The Board of Directors
convened the Annual General Shareholders' Meeting to be held on
April 29, 2016 (single call) to resolve, inter alia, on the
appointment of a Board Director. On January 21, 2016 the Board of
Directors had in fact co-opted Mr. Leone Pattofatto whose mandate
expires at the Shareholders' Meeting pursuant to art. 2386 of the
Italian Civil Code. Special Savings Shareholders' Meeting Finally,
the Board of Directors convened the Special Savings Shareholders'
Meeting to be held also April 29, 2016 (single call) to appoint
their new Common Representative.
