On October 8, 2003 Arnhold and S. Bleichroeder Advisers, LLC ("ASBA') purchased
100,000 shares of Spirax-Sarco Engineering, Plc. Common Stock. Since that
transaction, accounts managed by ASBA have held, in the aggregate, a total of
3,745,397 shares of Spirax-Sarco Engineering, Plc. Those shares represent 5.04%
of the 74,363,000 outstanding shares of the company. They also represent a
