FUSIONE PER INCORPORAZIONE DI ARCOLA PETROLIFERA Srl IN SARAS SpA Milano 4 febbraio 2014: Facendo seguito ai comunicati dei giorni 14 novembre 2013 e 11 dicembre 2013, si rende noto che, con deliberazione risultante da atto pubblico - che verrà depositata ed iscritta presso il Registro delle Imprese di Cagliari nei termini di legge -, in virtù di quanto consentito dall'Art. 19 dello Statuto Sociale e fermo restando il disposto dell'Art. 2505 del Codice Civile, in data odierna il Consiglio di Amministrazione di Saras SpA ha approvato la fusione per incorporazione con la controllata Arcola Petrolifera Srl. Si dà altresì atto che l'Assemblea straordinaria di Arcola Petrolifera Srl che delibererà in merito alla sopracitata fusione è in programma per il giorno 5 febbraio 2014. Arcola Petrolifera Srl, con sede legale in Sarroch (CA), S.S. 195 "Sulcitana" Km. 19, svolge attività di commercializzazione di prodotti petroliferi sul mercato italiano nel comparto rete ed extra-rete, tramite un sistema di depositi logistici sia di terzi che del Gruppo Saras. L'operazione di fusione ha l'obiettivo di razionalizzare la struttura del Gruppo Saras, collocando l'attività commerciale svolta nel mercato italiano dalla controllata all'interno di Saras SpA come divisione della stessa. Essendo Arcola Petrolifera Srl interamente posseduta da Saras SpA, la fusione avrà luogo in forma semplificata, ai sensi e per gli effetti dell'Art. 2505 del Codice Civile. La fusione rientra nell'esenzione dall'applicazione del Regolamento Consob n. 17221/2010 e successive modifiche, prevista dalla procedura adottata dalla Società in materia di operazioni con parti correlate (consultabile sul sito internet www.saras.it) con riferimento alle operazioni effettuate con società controllate, ai sensi di quanto consentito dall'Art. 12 del Regolamento medesimo.

MERGER BY INCORPORATION OF ARCOLA PETROLIFERA Srl INTO SARAS SpA Milan, 4th February 2014: Following the notices dated 14th November 2013 and 11th December 2013, we hereby announce that, by resolution resulting from public deed ­ which will be filed for the registration in the Companies Register of Cagliari as required by law ­ as per Article 19 of Saras' By-law and subject to the provisions of Article 2505 of the Italian Civil Code, today the Saras' Board of Directors approved the Merger with the subsidiary Arcola Petrolifera Srl. The General Meeting of Arcola th Petrolifera Srl which will decide on the aforementioned Merger is scheduled on the 5 February 2014. Arcola Petrolifera Srl, headquartered in Sarroch (CA), S.S. 195 "Sulcitana" Km 19, performs marketing and sales of petroleum products on the Italian retail and wholesale markets, through a network of logistic depots owned by third parties and by the Saras Group. The Merger aims to rationalise the Saras Group's structure, placing the business carried out by the subsidiary in the Italian market, within Saras SpA as a division of the latter. Since Arcola Petrolifera Srl is wholly owned by Saras SpA, the Merger will take place in a simplified form, pursuant to the Article 2505 of the Italian Civil Code. The Merger falls within the exemption from the application of Consob Regulation no. 17221/2010 and subsequent amendments, as required by the procedure adopted by the Company in relation to the transactions with related parties (available on the website www.saras.it) with respect to the transactions with its subsidiaries, pursuant to the extent permitted by the Article 12 of the aforementioned Regulation. IL GRUPPO SARAS
