                            Director's Shareholding



Mr J A Fooks, a Non-executive Director of the Company, has notified the Company
that with effect from 3 December 2003, his non-beneficial interest in Ordinary
shares of 5p in the Company has reduced by 12,500 shares following the
settlement of an estate to which he acted as executor. 4,166 of the shares were
sold at 451p per share and the proceeds passed to one of the beneficiaries. The
remaining 8,334 shares were transferred directly to the remaining beneficiaries.



Following the distribution of the 12,500 shares, Mr Fooks has a non-beneficial
interest in 20,400 shares, representing 0.04 per cent. of the Company's issued
ordinary share capital.
