( 1)  Shares of Deferred Stock vest on the third anniversary of the grant date subject to accelerated vesting on date alvimopan NDA is approved for use in POI or change of control as defined in the Adolor Corporation 2003 Stock-Based Incentive Compensation Plan. The alvimopan NDA was approved for use in POI on May 20, 2008, resulting in the vesting of all shares of Deferred stock.
