On October 29, 2008, AmCOMP Incorporated (the “Company”) announced that it received shareholder approval of the Agreement and Plan of Merger, dated January 10, 2008, as amended on April 28, 2008 and as further amended on August 29, 2008, by and among the Company, Employers Holdings, Inc., and Sapphire Acquisition Corp.
 
A copy of the press release issued by the Company on October 29, 2008 is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
