DTC means The Depository Trust Company, its nominees and their respective
successors and assigns.
Exchange Act means the Securities Exchange Act of 1934, as amended, and the rules and
regulations promulgated by the SEC thereunder.
GAAP means generally accepted accounting principles in the United
States of America as in effect from time to time.
guarantee means any obligation, contingent or otherwise, of any
Person directly or indirectly guaranteeing any Indebtedness of any other Person and any obligation, direct or indirect, contingent or otherwise, of such Person (1) to purchase or pay (or advance or supply funds for the purchase or payment of)
such Indebtedness of such other Person (whether arising by virtue of partnership arrangements, or by agreements to keep well, to purchase assets, goods, securities or services, to take or pay or to maintain financial statement conditions or
otherwise) or (2) entered into for purposes of assuring in any other manner the obligee of such Indebtedness of the payment thereof or to protect such obligee against loss in respect thereof (in whole or in part); provided,
however, that the term guarantee will not include endorsements for collection or deposit in the ordinary course of business. The term guarantee, when used as a verb, has a correlative meaning.
Holder or Noteholder means the Person in whose name a Note is registered on the security register books
of the Registrar.
incur means issue, assume, guarantee or otherwise become liable for.
Indebtedness means, with respect to any Person, obligations of such Person for borrowed money (including, without
limitation, Indebtedness for borrowed money evidenced by notes, bonds, debentures or similar instruments).
Indenture
means this Indenture, as further amended or supplemented from time to time.
Interest Payment Date means as to each
series of Notes the Stated Maturity of an installment of interest on such Notes.
Issue Date means, with respect to a
series of Notes, the date on which Notes of such series are issued.
Officer means the Chief Executive Officer,
President, the Controller, the Chief Operating Officer, any Vice President, the Treasurer, the Assistant Treasurer, the Chief Financial Officer, the Chief Accounting Officer, the General Counsel, the Secretary or the Assistant Secretary, as
applicable.
Officers Certificate means a certificate signed by an Officer of the Company.
Opinion of Counsel means a written opinion from legal counsel to the Company. The counsel may be an employee of the
Company. Opinions of Counsel required to be delivered under this Indenture may have qualifications customary for opinions of the type required and counsel delivering such Opinions of Counsel may rely on certificates of the Company or governmental or
other officials customary for opinions of the type required, including certificates certifying as to matters of fact.
Person means any individual, corporation, partnership (general, limited or limited liability), limited liability company,
joint venture, association, joint-stock company, trust, unincorporated organization or government or political subdivision thereof.
principal means the principal of the Notes of each series plus the premium, if any, payable on the Notes of each series
that is due or overdue or is to become due at the relevant time; provided, however, that for purposes of calculating any such premium, the term principal shall not include the premium with respect to which such calculation
is being made.
Redemption Date shall mean the date specified for redemption of the Notes of any series in accordance
with the terms of the Notes of such series and Section 3.01.
SEC means the Securities and Exchange Commission or
any successor agency.
Securities Act means the Securities Act of 1933, as amended, and the rules and regulations
promulgated by the SEC thereunder.
