“Existing Warrants”). In April 2024, the Company entered into warrant amendment agreements with certain institutional investors to lower the exercise price of such Existing Warrants to $11.00 per share. The Existing Warrants have been
amended as described below under “Amendments to Existing Warrants.” All share and per share information included in this prospectus supplement has been retroactively adjusted to reflect a 1-for-10 reverse stock split effected on October 18, 2024.
