Bull & Lifshitz, LLP announces an investigation into
possible breaches of fiduciary duty in connection with the proposed
acquisition of BMP Sunstone Corporation (NASDAQ: BJGP) (referred to
as "BMP Sunstone" or the “Company”) by Sanofi-Aventis S.A.
("Sanofi") in a cash transaction valued at approximately $520.6
million on a fully diluted basis.
Under the terms of the transaction, Sanofi will acquire all of
the outstanding shares of common stock of BMP Sunstone for $10.00
in cash. BMP Sunstone's board of directors has unanimously approved
the transaction. Stockholders controlling 23% of BMP Sunstone’s
shares on a fully diluted basis have committed to vote in favor of
the transaction.
