Explanation of Responses:
( 1)  These shares represent the forfeiture of performance-based restricted stock that was granted on February 19, 2014, the forfeiture of performance-based restricted stock and the partial forfeiture of time-based restricted stock that was granted on February 19, 2015, and the forfeiture of performance-based and time-based restricted stock that was granted on February 18, 2016, in each case where the conditions necessary for the restrictions to lapse cannot be satisfied due to the reporting person's resignation prior to end of the respective periods required.

Remarks:
The reporting person resigned as an officer of the Issuer effective June 14, 2016.
