Brooge Holdings
Limited, a Cayman Islands exempted company (“ Pubco ”), filed with the Securities and Exchange Commission (the
“ SEC”) a registration statement on Form F-4 (File No. 333-233964) on September 27, 2019 (as amended, the “
Registration Statement ”), which included a preliminary proxy statement of Twelve Seas Investment Company, a Cayman
Islands exempted company (“ Twelve Seas ”), and a prospectus in connection with the proposed business combination
transaction (the “ Business Combination ”) involving Twelve Seas, Pubco, Brooge Petroleum And Gas Investment
Company FZE, a company formed under the laws of the Fujairah Free Zone, UAE (“ BPGIC ”) and Brooge Petroleum
and Gas Investment Company (BPGIC) PLC, a company formed under the laws of England and Wales (“Seller”). Following
the effectiveness of the Registration Statement, Twelve Seas will mail a definitive proxy statement and other relevant documents
to its shareholders as of a record date to be established for voting on the Business Combination. Shareholders of Twelve Seas and

On October 7, 2019, Twelve
Seas issued a press release announcing the recent filings of the Registration Statement and the Preliminary Proxy Statement with
the SEC, as well as the furnishing of the updated investor presentation attached to this Current Report on Form 8-K. The press
release also describes an initial lease entered into by BPGIC in July 2019 for a new plot of land near its existing facilities
and BPGIC’s intentions for the use of such land following its entry into a final lease for Phase III of its planned expansion
of its operating facilities. In addition, the press release summarizes the key terms of the Business Combination Agreement. A copy
of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
