State below in reasonable detail the reasons why  Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The report of China Cablecom Holdings, Ltd. (the “Company”) on Form 20-F could not be filed within the prescribed time period  du e to the fact that the Company was unable to finalize its audited financial results as well as the disc losure requirements of Form 20-F without unreasonable expense or effort. As a result, the Company could not solicit and obtain the n ecessary review of the Form 20-F and signatures thereto in a timely fashion prior to the due date of the report.

During the fiscal year ended December 31, 2009, the Company’s revenue was approximately $45.6 million, which is an increase of $22.2 million, or 95%, compared to the same period of 2008. The increase was largely attributable to a full year of consolidation of Hubei Chutian Video & Information Network Co., Ltd. for 2009.
