Item 8.01 Entry into a Material Definitive Agreement.

 

On August 19, 2022 the Board of Directors of Cryo-Cell International, Inc. ("Cryo-Cell") declared a one-time, special cash dividend of $0.90 per share of common stock to be paid to its shareholders of record as of the close of business on September 2, 2022 and is expected to be paid on September 9, 2022.
