Explanation of Responses:
( 1)  The options vest in a series of 48 monthly installments such that 20% of the options will have vested by the first anniversary of the grant date, 20% of the options will have vested by the second anniversary of the grant date, 30% of the options will have vested by the third anniversary of the grant date and 30% of the options will have vested by the fourth anniversary of the grant date. The options will become exercisable only upon approval of the 2010 Equity Incentive Plan by the Company's stockholders.
