(e) In connection with the Agreement and Plan of Merger, dated April 17, 2012, by and among Catalyst
Health Solutions, Inc. (
Catalyst
), SXC Health Solutions Corp. (
SXC
), SXC Health Solutions, Inc., Catamaran I Corp. and Catamaran II LLC (the
Merger Agreement
), Catalyst granted
(i) equity and cash awards that vest and are payable at the closing of the transactions contemplated by the Merger Agreement (the
Closing
) to certain employees of Catalyst in an aggregate amount of up to $4,000,000 and
125,000 shares of Catalyst common stock, in each case as contemplated in the Merger Agreement, (ii) cash awards for individuals associated with key customer accounts in an aggregate amount of up to $1,500,000, as contemplated in the Merger
Agreement (the
Client Retention Awards
), and (iii) cash severance, bonus, or retention awards payable to employees up to an aggregate of $2,000,000. In furtherance of the foregoing, the following equity and/or cash awards were
allocated to the following Catalyst executive officers up to the amounts set forth below.

Also, Timothy Pearson, Catalysts Chief Financial Officer, will, in accordance with his employment agreement, receive at the Closing a pro-rata bonus for the 2012 calendar year, vested at the target
value, in the amount of $161,437.58.
On
June 4, 2012, the Board of Directors approved for each member of the Board of Directors their respective ordinary course issuance of annual restricted stock awards under the 2006 Stock Incentive Plan, which issuance consisted of
2,500 shares of Catalyst common stock, par value $0.01 per share. In addition, on such date, the Board of Directors approved for each non-employee member of the Board of Directors an additional one-time payment of $154,170 in cash as
compensation for the significant additional time required for preparing for and attending

the numerous additional meetings relating to the discussions, negotiations and approval of the transactions relating to the Merger Agreement (which cash amount was based on the average per
meeting compensation of the Board of Directors over the past two years).
