Item 2.02 Results of Operations and Financial Condition.

On February 3, 2009, COMSYS IT Partners, Inc. (the "Company") reported via press release that it will record a fourth quarter non-cash charge for goodwill impairment in accordance with Statement of Financial Accounting Standards 142. As a result of this charge, the Company expects it will report a net loss for the fourth quarter and for of the year ended December 28, 2008. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
