prescribed time period.
The Registrant is unable to file its
Form 10-Q for the quarterly period ended June 30, 2023 within the prescribed time period without unreasonable effort or expense because
additional time is needed to complete the review of the financial statements for the quarterly period ended June 30, 2023. The Registrant
anticipates that it will file its Form 10-Q within the fifth-day grace period provided by Rule 12b-25 of the Securities Exchange Act of
1934, as amended.

For the three months ended June 30,
2023, we had net income of approximately $0.4 million, which consisted primarily of interest income earned on cash and marketable securities
held in the trust account amounting to approximately $1.8 million, and change in fair value of the derivative warrant liability and the
forward purchase agreement liability of approximately $0.05 million and $(0.2 million), respectively, partially offset by formation and
operating costs amounting to approximately $1.2 million, and administrative fees of approximately $0.06 million.
For the three months ended June 30,
2022, we had net income of approximately $1.6 million, which resulted from a gain on the change in fair value of the derivative warrant
liability of approximately $1.8 million and interest income on investments held in a trust account in the amount of approximately $0.3
million, partially offset by operating costs of approximately $0.32 million and a loss on the change in fair value of the forward purchase
agreement liability of approximately $0.23 million.
The amounts reported above are still
under review by the Registrant’s independent registered public accounting firm and may differ once reported in the Form 10-Q to
be filed by the Registrant.
