Explanation of Responses:
( 1)  The Stock Option is excercisable over a period of four years from the date of the grant, with 1/4 vesting on the first anniversary and 1/16 vesting on each of the next twelve quarterly anniversaries, with the first quarterly installment vesting on the date that is one year and 3 months from the grant date and is subject to adjustment, acceleration and forfeit as more fully described in the Stock Option Award Certificate dated June 15, 2011 between the Issuer and the Reporting Person.

Remarks:
Mr. Vaccaro is a Member of CIFC Parent Holdings LLC ("CIFC Parent") and may be considered to have beneficial ownership of shares of common stock of the Issuer held by CIFC Parent. Mr. Vaccaro disclaims beneficial ownership of all such shares, except to the extent of his pecuniary interest therein.
