The Briscoe Law Firm, PLLC, founded by a former state prosecutor

investigating potential legal claims against the Board of Directors
of Diamond Management & Technology Consultants, Inc. (NASDAQ:
DTPI) related to the proposed acquisition of Diamond by
PricewaterhouseCoopers LLP (“PricewaterhouseCoopers”).
The agreement involves a cash transaction valued at
approximately $378 million, under which DTPI shareholders will
receive $12.50 in cash for each share of DTPI common stock they
hold.
The proposed share price represents a premium of only
approximately 10% compared to Diamond’s prior 45 day closing price
high of $11.36, and at least one analyst has set a price target for
DTPI of $14.00 per share. The investigation relates to possible
breaches of fiduciary duty and other violations of state law by the
Board of Directors of DTPI for approving this transaction, whether
the consideration to be received by DTPI shareholders is fair, and
whether DTPI’s board of Directors acted in the shareholders’ best
interest.
