Other Events

On September 22, 2014, FedFirst Financial Corporation (the “Company”) and CB Financial Services, Inc. issued a joint press release announcing that the Circuit Court for Baltimore City granted the Company’s motion to dismiss the complaint filed against the Company, its Board of Directors and CB Financial Services in connection with the Company’s pending merger with CB Financial Services.  The Circuit Court dismissed all claims as to all defendants with prejudice, including claims against the Company and its directors as well as claims against CB Financial Services.  A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

FedFirst Financial Corporation Wins Dismissal of Merger Litigation

CARMICHAELS, Pa. and MONESSEN, Pa., Sept. 22, 2014 (GLOBE NEWSWIRE) -- CB Financial Services, Inc. ("CB") (OTCQB:CBFV), the Carmichaels-based holding company for Community Bank, and FedFirst Financial Corporation ("FedFirst") (Nasdaq:FFCO), the Monessen-based holding company for First Federal Savings Bank, announced today that the Circuit Court for Baltimore City granted FedFirst's motion to dismiss the class action lawsuit purportedly brought on behalf of the shareholders of FedFirst in connection with FedFirst's pending merger with CB (Case No. 24C14002331, filed on April 21, 2014). The Court dismissed all claims as to all defendants with prejudice, including claims against FedFirst and its directors as well as claims against CB.
