Financial Condition.
On April 18, 2019,
Francesca’s Holdings Corporation (the “Company”) issued a press release announcing (i) it is delaying the release
of its financial results for the fourth quarter and fiscal year ended February 2, 2019 and (ii) its preliminary estimated financial
results for the fiscal fourth quarter ended February 2, 2019. A copy of the press release is furnished as Exhibit 99.1 to this
report. This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of
1934, as amended, and is not incorporated by reference into any filing of the Company, whether made before or after the date hereof,
