Explanation of Responses:
( 1)  The option award was approved by the Compensation Committee of the Board of Directors of Medgenics, Inc. on June 30, 2012, subject to approval by the NYSE MKT of an additional listing application covering such issuance. Such approval was received on July 19, 2012.
( 2)  The option award vested with respect to 300,000 shares upon grant and will vest with respect to the remaining 600,000 shares in equal installments on each of June 30, 2013 and June 30, 2014.
