This Tender Offer Statement on Schedule TO relates to the offer by The Hackett Group, Inc., a Florida corporation (Hackett or the Company), to purchase, up to $35.75 million in
value of shares of its common stock, $0.001 par value per share (the Shares), at a price not greater than $6.50 nor less than $5.75 per Share, to the seller in cash, less any applicable withholding taxes and without interest. The
