( 1)  Includes 7,509 shares granted pursuant to the 2011 Recognition and Retention Plan ("RRP") held in the RRP Trust that are vesting at a rate of 20% per year commencing on January 31, 2013 and 1,922 shares held jointly with the reporting person's spouse.
( 2)  Reflects units which represent share interests in the Issuer's 401(k) Plan and includes shares acquired since the last filed Form 4. Based on a report dated July 31, 2012.
( 3)  The reporting person is amending the Form 4, originally filed to report this option exercise, for the purpose of reflecting the disposition of the derivative securities pursuant to the exercise.
( 4)  The options are vesting at a rate of 20% per year commencing on August 19, 2011.
