Item 8.01. Other Events.

 

As previously disclosed, on July 26, 2024, Hour Loop, Inc. (the “Company”) received written notice (the “Bid Price Notice”) from the Nasdaq Listing Qualification Department (the “Nasdaq Staff”) indicating that the Company was not in compliance with the $1.00 minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”) for continued listing on the Nasdaq Capital Market. The notification of noncompliance had no immediate effect on the listing or trading of the Company’s common stock on the Nasdaq Capital Market under the symbol “HOUR.”

 

On August 23, 2024, the Company received written notice (the “Compliance Notice”) from the Nasdaq Staff indicating that the Nasdaq Staff has determined that for the then-last 10 consecutive business days, from August 9, 2024 to August 22, 2024, the closing price of the Company’s common stock had been at $1.00 per share or greater. Accordingly, per the Compliance Notice, the Company has regained compliance with the Minimum Bid Price Requirement and the matter is now closed.
