will not be able to file its Annual Report on Form 10-K for the year ended December 31, 2017 (the “2017 Form 10-K”)
by the prescribed due date. As a result of the adoption of the Tax Cut and Jobs Act enacted in late 2017, the Company requires
additional time to complete, and its independent registered public accounting firm requires additional time to audit, the Company’s
financial statements. The Company currently expects to file the 2017 Form 10-K within the fifteen-day extension period provided
under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

Net income attributable to the Company for the year ended December
31, 2017 increased to $16.8 million from $6.1 million for the year ended December 31, 2016. An increase in net sales for 2017 compared
to 2016 was driven by the Company’s lithium business and new materials business, which was partially offset by a decrease
in net sales by Ni-MH batteries and accessories. Further information about the Company’s results of operations for the fiscal
year ended December 31, 2017 compared to the fiscal year ended December 31, 2016 was previously reported in the Company’s
press release, dated April 2, 2018, that was furnished as Exhibit 99.1 to the Company’s Current Report on Form 8-K filed
with the SEC on April 2, 2018.
