detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the
prescribed time period.
The Registrant is unable to file its
Form 10-Q for the quarterly period ended March 31, 2023 within the prescribed time period without unreasonable effort or expense because
additional time is needed to finalize the financial statements to be included in such report. The Registrant anticipates that it will
file its Form 10-Q within the five-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

For the three months ended March 31,
2023, we had net income of approximately $1.5 million, which consisted of approximately $2.1 million in income from investments held in
Trust Account and interest income on operating account, which were partially offset by a loss of approximately $0.4 million from the change
in fair value of derivative warrant liabilities and approximately $0.2 million in operating and formation expenses.
For the three months ended March 31,
2022, we had a net income of approximately $3.7 million, which consisted of a gain of approximately $4 million from the change in fair
value of derivative warrant liabilities and an approximately $39,000 in unrealized gain on investments held in Trust Account and interest
income on operating account, which were partially offset by approximately $431,000 in operating and formation expenses (of which $30,000
was for related party administrative fees).
The amounts reported above are still
under review by the Registrant’s independent registered public accounting firm and accounting staff and may differ once reported
in the Form 10-Q to be filed by the Registrant.
